Louis A. Modugno - Partner

LOUIS A. MODUGNO  has a diverse practice and unique skills based on his prior experience as a certified public accountant.  He is an experienced litigator, represents clients in corporate governance and business transactions including asset acquisitions, asset sales, mergers, joint ventures, capitalizations and commercial lending, and represents clients in all aspects of bankruptcy and work-out matters. He has extensive experience in the areas of complex commercial and corporate litigation, fiduciary litigation, health care litigation, construction, surety, fidelity, professional defense litigation, director and officer litigation and complex bankruptcy litigation.

         In his litigation practice, Mr. Modugno represents sureties, contractors, subcontractors, and owners in connection with all aspects of litigation including, but not limited to, performance and payment bond litigation, contract claims, construction defect, and subrogation claims.  Mr. Modugno recently acted as co-lead counsel in a multi-week arbitration on behalf of a subcontractor in which the client received arbitration awards in excess of $60 million inclusive of interest and attorneys’ fees.  Mr. Modugno has also secured numerous favorable verdicts and decisions on behalf of surety clients.  He also represents numerous corporate clients in all aspects of litigation including shareholder, contract, lease, bankruptcy, fiduciary, subrogation and regulatory disputes.  Mr. Modugno also has secured numerous favorable verdicts on behalf of professionals including attorneys, accountants and engineers.

            In his corporate practice, Mr. Modugno represents clients in regulatory matters, third party financing, capital leases, contract negotiations, risk management, corporate governance, restructuring, acquisitions, mergers and provides general business advice.  In the last several years, he has acted as lead counsel on behalf of healthcare clients in the acquisitions of hospital assets in excess of $100 million.  He has also represented clients in the retail, manufacturing, personal service, transportation, construction, energy, healthcare and distribution industries in significant lending and other capital transactions.

       In his bankruptcy practice, Mr. Modugno represents debtors, borrowers, trustees, receivers, lenders, secured creditors, unsecured creditors, shareholders, insurers, lessors and virtually all parties in interest in bankruptcy, receivership, assignment and work-out matters.  He has significant insurance industry specific bankruptcy experience and has represented numerous insurers and sureties in bankruptcy cases throughout the United States.

       In 2006, Mr. Modugno was named one of New Jersey’s “Top 40 Lawyers under 40” by the New Jersey Law Journal.      Mr. Modugno is a member of the American Bar Association, the New Jersey State Bar Association, the Pennsylvania State Bar Association and the Association of the Federal Bar of the State of New Jersey. Mr. Modugno lectures on numerous issues at seminars presented by the New Jersey Institute of Continuing Legal Education, The Essex County Bar Association, The American Bankruptcy Institute, The American Bar Association Fidelity and Surety Law Section, the Association of Corporate Growth and numerous clients.  He is currently Vice-Chair of The Bankruptcy Section for the Fidelity and Surety Law Committee of Tort Trial and Insurance Practice Section of The American Bar Association. In 2014, Governor Chris Christie named Mr. Modugno as a Commissioner on the State of New Jersey School Ethics Commission.
