Salvatore A. Giampiccolo - Partner

SALVATORE A. GIAMPICCOLO, received his undergraduate degree with honors from Manhattan College in 1986 and Juris Doctor from Seton Hall School of Law in 1989. While at Seton Hall, Mr. Giampiccolo held the position of Student Director of the Seton Hall Legislative Bureau and Journal and authored a Note entitled Crossing the State Line: New Jersey Enters the New Age of Interstate Banking, 11 Seton Hall Legis. J. 371, 1988. He also was the recipient of the Seton Hall School of Law Alumni Distinction Award. He is admitted to practice law in the States of Pennsylvania, New Jersey, New York, as well as before the United States Supreme Court, the Court of Appeals for the Third Circuit, and various United States District Courts. Mr. Giampiccolo is a member of the American Bar Association, New Jersey Bar Association, New York Bar Association, and Bergen County Bar Association. In addition, he was the former Chair of the District IIA (Bergen County – North) Ethics Committee as well as the former Chair of the District IIB (Bergen County – South) Ethics Committee.  Mr. Giampiccolo is also Co-Manager of the firm's Commercial practice group.

His practice has been focused on litigation, corporate, transactional and general practice. He has a unique combination of skills, derived from his years of assisting businesses in all aspects of their formation and growth as well as his depth of knowledge of complex business matters.

The emphasis of his corporate/transactional practice is concentrated on commercial lending, including asset based and commercial and real estate financing, as well as representing a wide variety of individual and corporate clients across many industries including, but not limited to captives in the automotive industry, automobile dealer groups, retail, professional services, education, healthcare, life sciences, as well as generally, international companies, startup, early-stage, and growth companies.  Beyond serving as legal counsel, he is a trusted business advisor, he is known for his practical, hands-on experience, business planning, succession planning, and a very effective team member in planning and executing exit strategies, mergers, and acquisitions.

In recent years, the emphasis of his litigation has been concentrated on commercial matters, including automotive industry (dealerships and captive financial entities), class action, construction, consumer financial services, consumer fraud, franchise, shareholder and partnership disputes as well as insurance defense, premises defense, and professional liability defense.

He also regularly counsels corporate clients on contract and risk management matters and his representation of Clinical Research Organizations (“CROs”) and Life Science Companies in general corporate matters as well as consulting and preparing Master Services Agreements, Clinical and Analytical Study Agreements, Clinical Site Agreements, Project Agreements, Intellectual Property Agreements etc for medical devices, pharmaceuticals, and biologics.  The drug companies ranged from start-up to global in size and included those developing NCEs (New Chemical Entities) as well as generic drugs.  The studies represented all phases of development including discovery, preclinical, toxicology, Phases I, II, and III.  Additionally, his representation of CROs also involved litigation and consulted nationally on actions arising from alleged breach of the study agreement, breach of protocol, CRO's Standard Operating Procedures and Industry practices as well as other study related FDA issues.

His representation of international clients is based on a wide variety of experience and resources to meet the international legal needs of his foreign clients, whether businesses or individuals.  Primarily he assists and counsels foreign companies establishing and maintaining presence in the United States with foreign individuals pursuing business and personal interests in the United States; and with structuring their U.S. operations.  He represents the U.S. affiliates of non-U.S. parent entities on every day matters such as employment, regulatory compliance, leasing, operational and other business issues.

Mr. Giampiccolo has earned an AV rating by the Martindale-Hubbell Peer Review Rating system, the highest ranking an attorney can receive from his peers. He is also listed in Super Lawyers® (2010-2011, 2018-2019), a Thomson Reuters business, in the areas of Franchise/Dealership, Business/Corporate, and General Litigation. On October 19, 2016, Seton Hall University, School of Law, Peter W. Rodino, Jr. Society honored and awarded the "Excellence in Achievement Award" to Mr. Giampiccolo at the Society's Annual Celebration of Excellence Dinner held at the Newark Club.  Founded almost thirty years ago, the Rodino Law Society has a long-established tradition of supporting the local community. Every year, members of the society work with disadvantaged children in the homeless shelters of Newark, hosting craft days and other special events. Compassion, honor, and wisdom are three words that exemplify what Congressman Peter W. Rodino, Jr. represented and three things that the society that bears his name looks for in honoring its award recipients each year.
