Our attorneys have extensive experience representing commercial banking institutions and other lenders in a  wide range of  sophisticated financing transactions including, without limitation, commercial mortgage lending, construction loan financing, ground lease financing, mezzanine lending, secured lines of credit and equipment loans, asset-based lending, letter of credit financing, and bank capitalization.  

We have represented lenders and borrowers in small, mid-size and large asset-based transactions throughout the United States.  Examples of recent asset-based transactions our attorneys have handled include a $20 million loan to a food manufacturer; an $11 million loan to a river boat casino operator; a $9 million loan package for acquisition of dredge and related equipment and designated repairs; a $3.5 million loan to an environmental testing and drilling entity; a $2.5 million loan to a food importer; a $2.0 million loan to an auto parts manufacturer and importer; and a $1.2 million loan to a tool manufacturing entity.  We have also represented borrowers in loan transactions with the NJEDA and NJEFA.  

Our attorneys have also represented lenders in financing for the acquisition of gaming equipment, dredges, scows, drilling rigs and underwater exploration equipment, as well as in the preparation and negotiation of related bare boat charter agreements, preferred ship mortgages and documents to collateralize receivables from the United States Army Corps of Engineers.  Several of the lawyers in the Transactional Group specialize in the financial services area, including vendor finance agreements, and computer and technology financing.  We have also recently represented a borrower in a $48 million financing involving telecommunication equipment.  Our attorneys have also represented purchasers and sellers in loan and lease portfolio sales/acquisitions with purchase prices generally ranging from several million dollars to more than $50 million.

We have chartered financial institutions and handled all aspects of the organization of de novo commercial banks, from application to completed public offering to obtaining branch approvals. The Firm also serves as general counsel to commercial banks and counsels them  with  respect to  matters involving federal and state  regulatory issues before the Federal Reserve Board, Federal Deposit Insurance Corporation, New Jersey Department of Banking and Insurance, New York Department of Banking and the Pennsylvania Department of Banking.

In addition, the Firm counsels lenders in sophisticated lending transactions and negotiating and restructuring the workout of troubled loans. We have represented both lenders and borrowers on such varied financial transactions as secured and unsecured loans, asset-based loans, foreclosure proceedings, letters of credit, and leveraged buyouts. 

We provide a broad range of services to clients requiring guidance on industrial and commercial real estate transactions and land-use issues. We assist lending institutions, corporations, developers, property operators, and owners in purchasing, selling, developing, leasing and financing real property. In doing so we draw on our considerable experience in commercial real estate, construction financing and contracting, environmental compliance, municipal land use, and tax appeals.
