Middle Market Private Equity

A greater number of emerging companies – across all industry segments – are seeking strategic growth alternatives through private equity transactions, rather than going public. Unlike most large, well-established businesses, these middle market companies are often entrepreneurial in nature, and led by founders who have unique aspirations and demanding timetables. These growth companies, and the private equity firms that invest in them, require legal counsel with industry-specific expertise who are flexible, creative, and capable of structuring and negotiating transactions that are of long-term benefit to all parties.

We advise private equity clients and their portfolio companies on the full range of investment and financing activities, including growth investments and buy-and-build strategies, control, non-control and minority investments, buy-outs and recapitalizations, auction processes, strategic dispositions, exit strategies, bankruptcy, out-of-court restructurings and workouts.

Our lawyers also serve as general counsel for portfolio companies, advising on major transactions and day-to-day legal matters and providing efficiency and continuity for platform acquisitions, bolt-on transactions, operational and compliance issues, and sales.

Representative examples of MDM&C’s private equity assignments involving middle market companies include:

  • The acquisition of two investment management firms
  • The sale of a consumer finance business to a private equity sponsored portfolio company
  • Representation of an NYSE-listed food and beverage company in the sale of regional snack food company to a private equity fund
  • Representation of an NYSE consumer products company in the sale of dairy products subsidiary to a private equity firm
  • Representation of an NYSE-listed industrial products company in the sale of a vinyl coated fabrics division to a private equity firm and global asset manager
