Gary S. Hammersmith

Overview

GARY S. HAMMERSMITH represents insurance companies, other institutional investors and issuers in domestic and international mezzanine, private equity, venture capital, acquisition, private placement leveraged lease (including aircraft) and other financings.  He represents governmental plans and other institutions in limited partnership investments in private equity, venture capital, real estate and other private investment funds.  He also advises investors in connection with public and private resales of securities and in public and private restructurings, workouts and bankruptcy.  He has experience in a wide variety of other financings, including syndicated bank loans, high-yield debt and bond financings.

Gary represents strategic and financial buyers and sellers in mergers, acquisitions and divestitures through asset sales, stock sales, mergers and recapitalizations.  He also has experience in representing businesses and non-profit organizations in connection with entity formation and governance issues and advising businesses and non-profit entities concerning fiduciary duty, related party transaction, conflict of interest and ethical issues.

He is admitted to practice in New York, Connecticut and Massachusetts.  Gary is a Fellow of the American College of Investment Counsel and regularly lectures on a variety of corporate finance topics.
